Thomas Romer Launches AI-Powered M&A Firm Dexterity Law

Dexterity Law, an expert-driven, AI-empowered M&A boutique, has officially launched. Dexterity Law capitalises on the scale and promise of AI while avoiding the hype and keeping legal judgement where it belongs: with the lawyers. Accomplished M&A lawyers will deliver sophisticated, affordable representation to small and mid-market businesses that are growing through acquisitions or selling to private equity and other large buyers.

Dexterity Law is led by founding partner Thomas Romer, a deal lawyer with more than 25 years’ experience at Greenberg Traurig, BakerHostetler and Brownstein. He currently serves as vice chair of the ABA M&A Technology Subcommittee. With the formation of Dexterity Law, Romer is applying this experience to remove the barriers to affordability and speed typical of traditional approaches.

The firm’s business model passes AI- and technology-enabled cost efficiencies directly to clients and offers an alternative to BigLaw hourly billing rates. Dexterity Law uses a technology stack designed to optimise efficiency at every stage of an M&A transaction. That runs from the initial letter of intent (LOI) and non-disclosure agreement (NDA) through to due diligence, negotiation and close.

‘Our mission is to deliver high-quality, high-velocity M&A work at outcomes-based pricing that is better aligned with client goals and budgets,’ says Romer. ‘This levels the playing field for sellers in the $2 million to $20 million enterprise value bracket, who previously were often priced out of top-caliber representation under a more traditional model. Buyers benefit too, reducing the costs associated with acquisitions without sacrificing the quality they have come to expect.’

The vision behind Dexterity Law is to:

  • Deliver expert services with a team of top-tier ex-BigLaw talent
  • Better serve lower and mid-market deals by offering flexible outcomes-based fee arrangements
  • Reduce cost and cycle times by using AI effectively and responsibly

To that end, the firm is fielding interest from like-minded M&A lawyers. It has already secured partnerships with M&A management software provider SimplyAgree and legal recruiting agency Gibson Arnold. It is also working to formalise referral relationships with leading M&A practices that don’t typically take on smaller clients.

‘Sellers in small and mid-sized deals are often outgunned from a legal representation standpoint,’ says Romer. ‘The efficiency and capability that AI offers can change that equation substantially when used by experienced, tech-savvy M&A lawyers.’
